1. Scope and acceptance
These Terms of Service govern the relationship between Cleverfy (provider) and the Client (individual or entity contracting the services). Use of our services implies full acceptance of these terms.
2. Services provided
Cleverfy provides web development services, website creation, landing pages, digital automation and site maintenance, as described in the individual commercial proposals sent to each client. Specific details (scope, deadline, price) are always stated in the approved quote.
3. Process and communication
The entire process is remote and without calls: the client submits a brief, the Cleverfy team builds and sends updates by email or recorded video. Meetings or calls are not included unless previously agreed and remunerated.
4. Prices and payments
Prices are fixed and agreed in writing beforehand. For one-off projects, 50% is paid on proposal approval and 50% on final delivery. Maintenance plans are billed monthly via Stripe. All values include VAT at the applicable legal rate.
5. Delivery deadlines
Deadlines stated in proposals are contractual. In case of failure attributable to Cleverfy, the client is entitled to a 20% discount on the total project value. The deadline starts counting after receipt of the initial payment and complete brief.
6. Revisions and scope changes
The number of revision rounds is specified in each plan. Revisions within the agreed scope are included. Scope changes (new features, additional pages, concept changes) are quoted and agreed separately, without surprises.
7. Intellectual property
Upon full payment, all rights to the delivered site or product are transferred to the client. Cleverfy reserves the right to include the project in its portfolio, unless otherwise agreed in writing.
8. Client-provided content
The client is responsible for providing all content (texts, images, logos) required for the project within the agreed deadline. Delays in content delivery may result in an extension of the delivery deadline without Cleverfy's liability.
9. Post-delivery warranty
All projects include a post-delivery support period as indicated in the plan (minimum 14 days). During this period, we fix free of charge any bugs or defects attributable to development. Content changes or new requests are not included.
10. Maintenance plans
Monthly maintenance plans can be cancelled at any time, without penalties, with 30 days' notice. Cancellation does not entitle a refund for already-billed periods.
11. Limitation of liability
Cleverfy is not liable for indirect losses, lost profits or damages arising from factors outside its control, including failures of third-party services (hosting, domain, external APIs). Cleverfy's maximum liability is limited to the total value paid for the project.
12. Applicable law and jurisdiction
These terms are governed by Portuguese law. In case of dispute, the parties commit to attempting an amicable resolution. If impossible, the competent court shall be the Comarca do Porto.
13. Changes to terms
Cleverfy may update these terms with 30 days' prior notice by email to active clients. Continued use of services after that period constitutes acceptance of the new conditions.
